Additional Terms for TovoData

1. How these terms fit with the iLeads Terms of Service

TovoData is the online data platform owned and operated by iLeads.com, LLC, a California limited liability company doing business as TovoData ("iLeads," "we," "us," or "our"). These Additional Terms for TovoData (the "TovoData Terms") are Additional Terms under Section 3 of the iLeads Terms of Service at https://ileads.com/terms (the "Master Terms") for the TovoData service, and they are part of the Master Terms. Everything in the Master Terms applies to TovoData, including the Privacy Policy at https://ileads.com/privacy and the arbitration agreement and class action waiver in Section 25, except where these TovoData Terms say otherwise. If these TovoData Terms conflict with the Master Terms, these TovoData Terms control for TovoData. Capitalized words not defined here have the meaning given in the Master Terms.

The Master Terms and these TovoData Terms are each published at a single web address. When we update either one, the version posted at that address, with its "Last updated" date, is the version that applies, as described in Section 3 of the Master Terms.

These TovoData Terms apply to the TovoData websites, the signup and account application (currently register.tovodata.com), the TovoData API, Property Reports, and the data delivered through them (the "TovoData Service"). By creating an account, purchasing credits or reports, or using an API key, you agree to the Master Terms and these TovoData Terms. If you have a signed written agreement with iLeads, that agreement controls as described in Section 3 of the Master Terms.

2. Definitions and how the Master Terms apply

• "Order" means any purchase, subscription, credit purchase, or service request you place through the TovoData Service.
• "Delivered Data" under the Master Terms includes all data, API responses, and Property Reports you receive through the TovoData Service.

You are a "Client" under the Master Terms, so Section 11 (Business Clients) and Section 21 of the Master Terms apply to Delivered Data, as changed by these TovoData Terms. Sections 7 through 10 and Section 13 of the Master Terms (consumer requests, consent to contact, and the Provider compensation disclosure) and the third paragraph of Section 6 (Provider identity checks) do not apply to the TovoData Service.

The TovoData™ and iLeads® marks and logos may not be used without prior written permission, and iLeads claims common-law trademark rights in the TovoData name and logo. These are "iLeads Marks" under Section 14 of the Master Terms.

3. Your Account and API keys

In addition to Section 6 of the Master Terms: you are responsible for all activities and charges in connection with the use of your Account by any person or entity, and for ensuring full compliance with this agreement by all users of your Account. You will take all reasonable steps to inform your employees, officers, and agents who access the TovoData Service of the terms governing that access. Your Account may not be transferred without prior written approval from iLeads and is subject to any limits iLeads establishes. You will take all reasonable precautions to keep your password, User ID, access codes, and API keys confidential; you are solely liable for any harm resulting from their disclosure. In the event of any disclosure or other breach of security, you remain liable for unauthorized use of the TovoData Service until you deliver written notice to iLeads and obtain replacement credentials.

4. API access

Where the TovoData Service includes API access: API keys are credentials subject to Section 3; you may not share keys across entities or applications without authorization; we may impose and change rate limits, usage quotas, and technical requirements; you may cache or store API responses only as needed to use the TovoData Service for your licensed purpose and within the retention limits in Section 6; and we may monitor API usage for billing, security, and compliance. Evaluation or trial access, where offered, is for your internal evaluation only, may be rate-limited or time-limited, and may be modified or terminated at any time.

Access through TovoData-issued API keys, within your rate limits and quotas, is the express written permission referred to in Section 16(6) of the Master Terms, and the API is an interface iLeads provides under Section 15 of the Master Terms. You may run your integration, and any SDK or sample code iLeads supplies, on as many of your systems as you need for your licensed purpose; the other limits in Section 15 (no reverse engineering, decompiling, or modified versions) still apply. Scraping or automated access to the TovoData websites other than through the API remains prohibited.

5. Data license

This Section replaces Sections 11(a), 11(b)(i), and 11(b)(ii) of the Master Terms for the TovoData Service. Section 14 of the Master Terms does not limit any use of Delivered Data that this Section permits.

(a) Internal use. Subject to this agreement and your payment of fees, iLeads grants you a limited, non-exclusive, non-transferable, revocable license to use Delivered Data for your internal business purposes.

(b) Use in your own application. If your account plan or Order includes it, you may also make Delivered Data available to your own customers ("End Users") through your own application, provided that:

(i) you provide End Users only reports, valuations, scores, and other analysis derived from Delivered Data, plus the specific data fields that iLeads identifies as available for download on your plan;

(ii) End Users use them only for their own internal business purposes (or, for individual consumers, their own personal use), and use downloaded data fields only for direct marketing, analytics, and data verification of their own products and services;

(iii) End Users may not resell, relicense, or redistribute them;

(iv) you do not provide data for more than 5,000,000 distinct addresses per month to any one End User;

(v) you do not display or redistribute any data field that iLeads identifies as not for display;

(vi) you do not sell or license Delivered Data on its own, as a raw data feed, or as part of a competing property-data product, and you do not provide it in bulk to any End User;

(vii) neither you nor your End Users use Delivered Data to create derivative works or to create or enhance a database, other than the records your application needs to serve that End User; and

(viii) you have a written agreement with each End User containing terms materially similar to this Section and Sections 5(d), 5(e), 6, and 8, and you will give iLeads a copy of it promptly on request.

(c) Property Reports. You may give an individual Property Report to your own client for the property it covers. You may not resell Property Reports or publish them.

(d) Restrictions. Unless otherwise stated in a written agreement with iLeads.com, LLC, you may not: (i) resell, sublicense, assign, transfer, or redistribute the TovoData Service or Delivered Data, in whole or in part, except as Section 5(b) or 5(c) allows; (ii) use any element or component of the TovoData Service or Delivered Data to create, replace, supplement, or enhance any title, legal, vesting, ownership, or encumbrance report, or in connection with any alternative to title insurance without iLeads' prior written approval; or (iii) use the TovoData Service or Delivered Data for any purpose not specifically authorized.

(e) Restricted recipients. You shall not provide the TovoData Service or Delivered Data to the following entities, their affiliates or subsidiaries, or their successors in interest without iLeads' prior written approval: Acxiom Corporation; American Title, Inc.; Attom Data Solutions; CoreLogic Solutions, LLC; DataData, Inc.; Equifax Inc.; Experian Marketing Solutions, Inc.; Fidelity National Title Insurance Company; NDC Financial Services LLC; Nationwide Environmental Title Research, LLC (NETR); NextAce Corporation; Property Insight LLC; Sentry Dynamics, Inc.; ServiceLink IP Holding Company; TransUnion LLC; Bloomberg; CBC Companies, Inc., CBC Innovis, and DataVerify Corporation; FNC; Dun & Bradstreet; Estated; Fannie Mae; the Federal Home Loan Banks; Fidelity National Financial, Inc.; First Data Corporation; Freddie Mac; Hanley Wood, Meyers Research, and Metrostudy; Home Junction; HouseCanary; Infutor; Lightbox; LexisNexis; Merkle; Precisely and Syncsort; Quantarium; Radar Logic, Inc.; Reonomy; Thomson Reuters; Verisk; The Warren Group; Xome; Zillow; RealtyTrac; any data reseller marketplace (other than lead and list marketplaces); any agency or instrumentality of the United States Government; any person or entity that produces real estate automated valuation models or property estimates that compete with those of iLeads' data suppliers; and any person or entity whose business competes with iLeads' data suppliers.

6. Retention and destruction

This Section fills in Section 11(b)(iv) of the Master Terms. You may retain Delivered Data, including cached API responses, for the period permitted by your Order or written agreement; where an Order does not state a retention term, your license to retain Delivered Data expires twelve (12) months after delivery. Upon expiration or termination of your agreement or license, you will cease use of and destroy Delivered Data in your possession or control within thirty (30) days, except as required by law. If iLeads' right to provide any Delivered Data ends, your license to that data ends too, and you will destroy it within fifteen (15) days after iLeads tells you.

7. Fees and credits

You will pay iLeads the fees as agreed at the time of use of the TovoData Service. All fees are non-refundable. Fees are billed in advance to the payment card provided. We reserve the right to change or add fees or charges for access to or use of the TovoData Service at any time.

Product credit. All data sold on the TovoData Service is third-party public-record data and no warranty is made; iLeads is obligated to provide credit for incorrect data or errors only at its sole discretion, and providing credits is not iLeads' standard policy. Any credits purchased within the TovoData Service or provided by iLeads expire twelve (12) months after the credit was approved or issued; credits unused at the end of the twelfth month are deemed expired and will be removed from your Account, effective the last day of that twelfth month.

If your Account is closed by you or by iLeads, for any reason, any unused credits are forfeited and are not refunded.

8. Not a consumer reporting agency

In addition to Section 21 of the Master Terms: iLeads is not a consumer reporting agency, and the TovoData Service and Delivered Data do not constitute consumer reports. You shall not use the TovoData Service or Delivered Data, in whole or in part, as a factor in establishing any individual's eligibility for credit, insurance, employment, housing or tenancy, a license or other benefit granted by a government authority, in underwriting individual insurance, or any other purpose for which a consumer report may be used under applicable fair-credit-reporting law.

9. Your compliance

In addition to Section 11(c) of the Master Terms: at your own expense, you will exercise reasonable care in using the TovoData Service and any data or services received and will comply in all material respects with all foreign, federal, state, and local laws, rules, regulations, ordinances, guidelines, and judicial and administrative orders applicable to your performance under this agreement — including, as applicable, laws governing commercial email and anti-spam, consumer privacy and data protection, truth in lending, equal credit opportunity, fair credit reporting, and unfair or deceptive acts and practices (collectively, "Applicable Laws"). You are solely responsible for any damages, costs, fines, penalties, settlements, or judgments associated with your or your agents' or customers' violation of this Section.

Privacy roles and requests. Neither party shall be deemed a service provider or data processor of the other party, as those terms may be used under Applicable Law, with respect to any personal information processed pursuant to this agreement. You shall comply with privacy-rights requests required under Applicable Law — including requests to opt out of sales, and to delete, access, or correct personal information — and with any such requests reasonably communicated to you by iLeads to the extent applicable and required by Applicable Law. If and to the extent use of the TovoData Service requires a party to act as a "service provider," "processor," or "contractor" under applicable privacy law, the parties shall execute a data processing addendum as required by such law.

10. Confidentiality

Each party will keep in strictest confidence all Confidential Information of the other party — including financial, customer, and sourcing information; third-party contacts, vendors, and providers; marketing, lead, product, service, and business information; proprietary data; trade secrets; know-how; technology; pricing; and business plans. Confidential Information does not include information that (a) is or becomes public knowledge through no fault of the receiving party, (b) is disclosed with the owning party's prior written consent to unrestricted disclosure, or (c) is lawfully obtained from a third party who did not obtain it, directly or indirectly, from the owning party. Confidential Information includes personal information (including nonpublic personal information as defined under federal financial-privacy law). Neither party will publish or disclose the other's Confidential Information for its own benefit or to the other's detriment — except that iLeads may incorporate into its products and market reports, in bulk and without specific reference to you, analytics performed on data provided for the TovoData Service. Both parties will take all necessary action to protect Confidential Information. This Section survives termination.

11. Refusing service; closing your Account

iLeads reserves the right, in its sole discretion, to select users and to refuse service or subscription to any person or entity for any reason or no reason. Either you or iLeads may terminate your Account at any time, for any reason or no reason. Section 28 of the Master Terms also applies.

12. Limitation of liability

This Section replaces the second and third paragraphs of Section 22 of the Master Terms for the TovoData Service, including the $100 minimum. The first and last paragraphs of Section 22 continue to apply.

UNDER NO CIRCUMSTANCES, AND UNDER NO LEGAL THEORY, WHETHER IN TORT, CONTRACT, OR OTHERWISE, SHALL ILEADS, ANY OF ITS SUBSIDIARIES, AFFILIATES, PARENT COMPANIES, SUPPLIERS, OR INDEPENDENT CONTRACTORS, OR ANY OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS, OR ANYONE ELSE INVOLVED IN DEVELOPING OR DISTRIBUTING THE TOVODATA SERVICE, BE LIABLE FOR ANY ECONOMIC HARM RESULTING IN ANY WAY FROM THE USE OF, SERVICES PROVIDED ON, OR INABILITY TO USE THE TOVODATA SERVICE, INCLUDING, WITHOUT LIMITATION, HARM RESULTING FROM RELIANCE ON ANY DATA, OR FROM ANY INTERRUPTIONS, WORK STOPPAGES, COMPUTER FAILURES, COMMUNICATION FAILURES, DELETION OF FILES, ERRORS, OMISSIONS, INACCURACIES, DEFECTS, VIRUSES, DELAYS, OR MISTAKES OF ANY KIND. IN NO EVENT SHALL THE TOTAL LIABILITY OF ILEADS AND THOSE PARTIES, JOINTLY OR SEVERALLY, EXCEED THE TOTAL AMOUNT PAID BY YOU TO ILEADS FOR ACCESS FEES AND OTHER CHARGES IN CONNECTION WITH YOUR ACCESS TO AND USE OF THE TOVODATA SERVICE WITHIN THE LAST THIRTY (30) DAYS.

13. Indemnification, court fees, and jury waiver

In addition to Section 24 of the Master Terms, your duty to indemnify includes attorneys' fees and any costs associated with subpoena responses arising from any dispute over property record data or other service provided through the TovoData Service.

These terms also apply even if you opt out of arbitration under Section 25(j) of the Master Terms: the prevailing party shall be awarded its reasonable attorneys' fees and costs in any lawsuit arising out of or related to this agreement; and this agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.

14. United States only

This agreement does not call for any sharing of personal information about individuals located within the European Economic Area, Switzerland, or the United Kingdom. Use of any data or service from TovoData is permitted within the United States only.
