Additional Terms for LeadsDirect
These terms add to the iLeads Terms of Service.

Skip the section index1. How these terms fit with the iLeads Terms of Service
LeadsDirect is a brand and service of iLeads.com, LLC, a California limited liability company ("iLeads," "we," "us," or "our"). These Additional Terms for LeadsDirect (the "LeadsDirect Terms") are Additional Terms under Section 3 of the iLeads Terms of Service at https://ileads.com/terms (the "Master Terms"), and they are part of the Master Terms. Everything in the Master Terms applies to LeadsDirect, including the Privacy Policy at https://ileads.com/privacy and the arbitration agreement and class action waiver in Section 25, except where these LeadsDirect Terms say otherwise. If these LeadsDirect Terms conflict with the Master Terms, these LeadsDirect Terms control for LeadsDirect. Capitalized words not defined here have the meaning given in the Master Terms.
The Master Terms and these LeadsDirect Terms are each published at a single web address. When we update either one, the version posted at that address, with its "Last updated" date, is the version that applies, as described in Section 3 of the Master Terms.
These LeadsDirect Terms govern the LeadsDirect registration and account application (currently register.leadsdirect.app and account.leadsdirect.app) and the Leads purchased through it (the "LeadsDirect Service"). By registering for an Account or purchasing Leads, you agree to the Master Terms and these LeadsDirect Terms. If you have a signed written agreement with iLeads, that agreement controls as described in Section 3 of the Master Terms.
2. Definitions and how the Master Terms apply to buyers
- "Leads" means any leads, lead records, contact records, data elements, appends, scores, valuations, or other data products purchased or received through the LeadsDirect Service. Leads are "Delivered Data" under the Master Terms.
- "Account" means the LeadsDirect account, credentials, User IDs, passwords, and access codes issued to you.
- "Applicable Laws" has the meaning given in Section 10.
As a LeadsDirect buyer you are a "Client" under the Master Terms, so Section 11 (Business Clients), Section 21 (including the Property Information and no-consent paragraphs), and Section 24(5) of the Master Terms apply to your Leads. Sections 8, 9, 10, and 13 of the Master Terms (consumer loan and insurance requests, consent to contact, and the Provider compensation disclosure) do not apply to your purchases as a buyer. Section 25(a) of the Master Terms does not make any other LeadsDirect buyer a party to, or a beneficiary of, your agreement with iLeads.
3. Eligibility and licensing
You represent and warrant that you have full power and authority to enter into this agreement; that you are a duly formed United States entity, in good standing, with a United States principal place of business; and that your execution, delivery, and performance of this agreement will not violate any applicable law, statute, or governmental regulation.
You further represent, warrant, and agree that you are, and will remain, duly licensed as a mortgage broker, creditor, or insurance company in each jurisdiction where required by Applicable Laws, and that you will provide applicable license numbers and other licensing information to iLeads promptly upon request.
4. Your Account
This Section replaces the second paragraph of Section 6 of the Master Terms for LeadsDirect.
You are responsible for all activities and charges in connection with the use of your Account by any person or entity, and for ensuring full compliance with this agreement by all users of your Account. You will take all reasonable steps necessary to inform your employees, officers, and agents who access or use the LeadsDirect Service of the terms and conditions governing that access and use. Your Account may not be transferred without prior written approval from iLeads and is subject to any limits established by iLeads. You will take all reasonable precautions to ensure the confidentiality of the password, User ID, and access codes assigned to you; you are responsible for maintaining their confidentiality and are solely liable for any harm resulting from disclosing, or suffering or permitting disclosure of, them. In the event of any such disclosure or other breach of security, you remain liable for any unauthorized use of the LeadsDirect Service until you deliver written notice to iLeads and obtain replacement credentials.
The software license in Section 15 of the Master Terms extends to your employees, officers, and agents who are authorized users of your Account, on any device they use to access the LeadsDirect Service.
5. Fees and payment
You shall pay iLeads the fees as agreed to at the time of use of the LeadsDirect Service. All fees are non-refundable, except as stated in Section 9 (replacement credits). All fees shall be billed in advance to the payment card provided. Payment card data is processed by our payment processor and is not stored by iLeads. We reserve the right to change or add fees or charges for access to or use of the LeadsDirect Service at any time. This Section governs fees for LeadsDirect buyers; the statement in Section 8 of the Master Terms that iLeads does not charge a fee applies only to consumers.
If your Account is closed by you or by iLeads, for any reason, any unused credits are forfeited and are not refunded.
6. How you may use Leads
The license in Section 11(a) of the Master Terms is limited, for Leads, to your internal sales and marketing purposes only. In addition to the restrictions in Section 11(b) of the Master Terms, you may not sublicense or assign Leads or the LeadsDirect Service, in whole or in part, or engage in systematic retrieval of data or other content from the LeadsDirect Service to create or compile, directly or indirectly, a collection, compilation, database, or directory, other than working the Leads you purchased in your own systems.
Section 11(b)(iv) of the Master Terms does not set a retention limit for Leads you purchase through the LeadsDirect Service; you may keep them for as long as you use them for your internal sales and marketing purposes, and all other restrictions continue to apply.
7. Leads are not exclusive
Unless your order says otherwise, Leads are not sold to you exclusively. The same consumer inquiry may be sold to, or received by, other buyers, before or after it is sold to you.
8. Aged leads
Because this is a marketing program, Leads and services provided may be "aged leads," and iLeads does not and cannot control the sales skill level of the buyer, current market conditions, the interest level, legitimacy, or accuracy of the Leads or services, how the Leads or services are or will be used, or whether the Leads or services or your use of them will comply with any applicable laws with respect to telemarketing or privacy. Section 21 and Section 11(d) of the Master Terms apply to all Leads.
9. Lead replacement credits
This Section is the only exception to Section 11(d) and Section 21 of the Master Terms.
Because all leads sold on the LeadsDirect Service are consumer-initiated and transmitted, a lead may occasionally be "bad" or due for a replacement. To allow for quick and convenient replacement, the replacement request procedure is automated. We reserve the right to audit replacement requests. We will replace a lead if: (i) the consumer has given us bad contact information (for example, a phone number not in service); (ii) the lead is a fictitious person or an agent; or (iii) the lead is a duplicate of one that you have already purchased on the LeadsDirect Service. iLeads is not obligated to replace more than twenty percent (20%) of the leads within a 30-day purchase cycle, and will not provide cash or credit-card refunds in lieu of replacements. iLeads does not accept replacement requests on aged data (leads that were older than 14 days at the time of purchase). Replacements may be approved in advance but later deemed invalid due to the replacement maximum being reached or an audit by iLeads. Replacement requests will be reviewed and approved or denied within five (5) business days. Users must be accepted and activated members of the LeadsDirect Service to input replacement requests.
Expiration of credit. Any credits purchased within the LeadsDirect Service or generated via replacements expire twelve (12) months after the credit was approved for use within the system. Any credit unused at the end of the twelfth month is deemed expired and will be removed from your Account, effective the last day of that twelfth month.
10. Your compliance
You represent that you will exercise reasonable care in using the LeadsDirect Service and will comply in all material respects with any and all foreign, federal, state, or local laws, rules, regulations, ordinances, guidelines, and judicial and administrative orders in effect or hereafter enacted, adopted, or amended that apply to your performance under this agreement, including, as applicable, California Business & Professions Code §17529 et seq., Canadian anti-spam legislation, the Federal Telemarketing Sales Rules (including the Telemarketing Sales Rule, 16 C.F.R. Part 310), the Telephone Consumer Protection Act (47 U.S.C. § 227, et seq., the "TCPA") and all rules and regulations promulgated thereunder and any state equivalent telemarketing laws, privacy laws (including, as applicable, the Gramm-Leach-Bliley Act, the CAN-SPAM Act, the California Consumer Privacy Act of 2018, the California Privacy Rights Act of 2020, the Virginia Consumer Data Protection Act, the Colorado Privacy Act, EU Regulation 2016/679 (GDPR), EU Directive 2002/58/EC (ePrivacy Directive), and their amendments, implementing regulations, and successor laws), regulations relating to the National Do Not Call Registry (16 C.F.R. Part 310) and applicable state Do Not Call requirements, the Truth in Lending Act (15 U.S.C. § 1601 et seq.), the Equal Credit Opportunity Act (15 U.S.C. § 1691 et seq.), the Fair Credit Reporting Act (15 U.S.C. § 1681 et seq.), Section 5 of the Federal Trade Commission Act, and state unfair and deceptive acts and practices prohibitions applicable to your products or services or your performance hereunder (collectively, "Applicable Laws"). You will maintain a written policy for maintaining Do Not Call/suppression requests and will create and maintain individual/entity-specific Do Not Call (and revocation) lists. You are solely responsible for, and assume all risk of, any damages, costs, fines, penalties, settlements, or judgments associated with your or your agents' or customers' violation of this Section.
Automated calling technology. You agree not to use, and shall ensure that your agents, contractors, and employees do not use, an automatic telephone dialing system ("ATDS") or other regulated automated technology as defined in or regulated by the TCPA or equivalent state laws (including, but not limited to, an artificial or prerecorded voice, artificial-intelligence technology, or ringless voicemail messages) to make any calls or send any text messages to the Leads purchased.
Privacy rights requests. You shall comply with any privacy-rights requests required under Applicable Laws, including requests to opt out of sales of personal information and requests to delete, access, or correct personal information, and you shall comply with any such requests reasonably communicated by iLeads to you to the extent applicable to the personal information and required by Applicable Laws.
Service-provider status; data processing addendum. Neither party shall be deemed a service provider or data processor of the other party, as those terms may be used under Applicable Laws, with respect to any information that is considered personal information, personal data, nonpublic personal information, protected health information, or other regulated data under Applicable Laws processed pursuant to this agreement. If and to the extent the use of the LeadsDirect Service requires one party to act as a "service provider," "processor," or "contractor" as those terms are defined by the CCPA, CPRA, VCDPA, CPA, GDPR, or other Applicable Laws using those or analogous terms, the parties shall execute a Data Processing Addendum as required by Applicable Laws.
11. Confidentiality
Each party will keep in strictest confidence and trust all Confidential Information of the other party. "Confidential Information" means any and all financial, customer, or sourcing information; third-party contacts, vendors, and providers; marketing, lead or leads-product, service, or business information; lead service methods; patent applications; proprietary data; trade secrets; know-how; technology; and any other proprietary information relating to the past, present, or future research, development, and business of either party — including, without limitation, data providers, vendors, discoveries, concepts, designs, drawings, art, logos, specifications, techniques, manufacturing information, instructions, samples, models, data, technical manuals, diagrams, research and development materials, processes, procedures, marketing techniques and materials, marketing and development plans, business plans, customer names and other customer information, price lists, pricing policies, ordering and shipment data, test-market and national-volume information, product and package size and design, and financial information. Except for financial statements, Confidential Information does not include information that a party can demonstrate (a) is or becomes a matter of public knowledge through no fault of the receiving party, (b) is disclosed with the owning party's prior written consent to unrestricted disclosure, or (c) is lawfully obtained from a third party who did not obtain the information, directly or indirectly, from either party. Confidential Information includes Personal Information — meaning (i) any "nonpublic personal information" as defined under Title V of the Gramm-Leach-Bliley Act, 15 U.S.C. § 6801 et seq., and its rules and regulations, or (ii) any information that can specifically identify an individual, such as name, address, or Social Security number, together with any other information that relates to an individual who has been so identified. Neither party will publish or otherwise disclose the other party's Confidential Information for its own benefit or to the other's detriment — except that iLeads may incorporate into its products and market reports, in bulk and without specific reference to you, analytics performed on data provided for the LeadsDirect Service. Both parties will take all necessary action to protect the confidentiality of Confidential Information. This Section survives termination.
12. Competition law
In addition to Section 16 of the Master Terms, you must not use your Account in any manner that constitutes, or forms part of a course of conduct amounting to, a violation of any state, federal, or other applicable competition law — you acknowledge that the LeadsDirect Service offers an opportunity for communication and information sharing among a wide variety of participants in the insurance and mortgage industries, including competitors in the markets for various insurance and mortgage products and related services, and you are solely responsible for your Account's compliance.
13. Refusing service; closing your Account
iLeads reserves the right, in its sole discretion, to select buyers and to refuse service to any person or entity for any reason or for no reason whatsoever. iLeads may terminate immediately and without notice the Account of any buyer who misuses the LeadsDirect Service or fails to comply with any term or condition of this agreement.
Either you or iLeads may terminate your Account at any time, for any reason or no reason at all. In place of the third paragraph of Section 22 of the Master Terms (see Section 14): your only right with respect to any dissatisfaction with (i) any term or condition of this agreement or any change to it, or any decision, policy, or action of iLeads in operating the LeadsDirect Service, or (ii) the quality, quantity, or any other aspect of the Leads available through the LeadsDirect Service, is to terminate your Account by delivering written notice to iLeads, subject to Section 14. Section 28 of the Master Terms also applies.
14. Limitation of liability
This Section replaces the second and third paragraphs of Section 22 of the Master Terms for LeadsDirect. The first and last paragraphs of Section 22 continue to apply.
ILEADS' TOTAL LIABILITY AND YOUR EXCLUSIVE REMEDY UNDER OR RELATED TO THIS AGREEMENT (EXCEPT FOR CLAIMS OF WILLFUL MISCONDUCT, GROSS NEGLIGENCE, OR INFRINGEMENT, WHICH SHALL NOT BE LIMITED HEREBY) SHALL BE LIMITED TO DIRECT MONEY DAMAGES NOT EXCEEDING THE AMOUNT PAID BY YOU TO ILEADS FOR THE LEADSDIRECT SERVICE IN THE PRIOR THIRTY (30) DAYS.
UNDER NO CIRCUMSTANCES, AND UNDER NO LEGAL THEORY, WHETHER IN TORT, CONTRACT, OR OTHERWISE, SHALL ILEADS, ANY OF ITS SUBSIDIARIES, AFFILIATES, PARENT COMPANIES, SUPPLIERS, OR INDEPENDENT CONTRACTORS, OR ANY OF THEIR DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS, OR ANYONE ELSE INVOLVED IN DEVELOPING OR DISTRIBUTING THE LEADSDIRECT SERVICE BE LIABLE FOR ANY ECONOMIC HARM RESULTING IN ANY WAY FROM THE USE OF, SERVICES PROVIDED ON, OR INABILITY TO USE THE LEADSDIRECT SERVICE, INCLUDING, WITHOUT LIMITATION, ANY ECONOMIC HARM RESULTING FROM RELIANCE ON ANY LEADS OR RESULTING FROM ANY INTERRUPTIONS, WORK STOPPAGES, COMPUTER FAILURES, COMMUNICATION FAILURES, DELETION OF FILES, ERRORS, OMISSIONS, INACCURACIES, DEFECTS, VIRUSES, DELAYS, OR MISTAKES OF ANY KIND.
15. Indemnification
In addition to Section 24 of the Master Terms, your duty to defend and indemnify includes, but is not limited to, any actual, alleged, or threatened claims relating to alleged violations of the Telephone Consumer Protection Act or equivalent telemarketing laws against you or iLeads, and any subpoenas issued to iLeads relating to you, the Leads, or the LeadsDirect Service, including attorneys' fees and costs incurred in connection with any third-party litigation involving you, iLeads, the Leads, or use of the LeadsDirect Service. For LeadsDirect, iLeads shall have the right to select defense counsel of its choosing, subject to your approval, which shall not be unreasonably withheld, and the defense is at your expense; this replaces the words "at its own expense" in the last sentence of Section 24 of the Master Terms.
16. Jury trial waiver and court fees
These terms apply even if you opt out of arbitration under Section 25(j) of the Master Terms. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY AGREES THAT IT SHALL NOT SEEK A JURY TRIAL, AND WAIVES ANY AND ALL RIGHT TO A JURY TRIAL, IN ANY PROCEEDING BASED UPON, ARISING OUT OF, OR OTHERWISE RELATED TO THIS AGREEMENT. The prevailing party shall be awarded its reasonable attorneys' fees and costs in any lawsuit arising out of or related to this agreement. This agreement is not governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded.
17. United States only
The parties agree and acknowledge that this agreement does not call for any sharing of personal information about individuals located within the European Economic Area, Switzerland, or the United Kingdom.
